Management Tasks

Focusing on Takeda-ism, which represents the corporate philosophy referring to "Integrity = fairness, honesty, perseverance " as the basis of all the business activities, Takeda is aiming to realize sustainable growth and increased corporate value globally by achieving the targets set in this Medium-Term Management Plan, with comprehensive improvement of strengths such as "establishment and in-depth implementation of strategies from a long-term perspective" and "high productivity and efficiency."

In "2006-2010 Medium-Term Management Plan," Takeda will dedicate collective efforts to the management tasks mentioned below.

• Enhancement of capability to create new drugs through in-house R&D activities
• Formulation of a tri-polar marketing function (Japan, USA, Europe)
• Establishment of an efficient global management scheme for corporate headquarters' functions
• Securing human resources necessary for global operation
• Pursuing the highest productivity and efficiency in each of the "MPDRAP" functions

April 10, 2008 Takeda to Acquire Millennium
Takeda and Millennium Pharmaceuticals, Inc.have entered into a definitive agreement pursuant to which Takeda will acquire Millennium through a cash tender offer. Millennium is a leading biopharmaceutical company. The acquisition of Millennium accelerates Takeda’s vision of becoming a global leader in oncology with critical mass in the areas of oncology discovery, development, regulatory affairs and commercialization.

April 1, 2008 Launch of Takeda Bio Development Center Limited
Takeda Bio Development Center Limited, which used to be a wholly owned subsidiary of Amgen Inc. in Japan being engaged in the clinical development of the investigational compounds created by Amgen Inc., has become a wholly owned subsidiary of Takeda.

November 19, 2007 Takeda Established a New Company in the U.S. for Therapeutic Antibody Research
Takeda has established a new company for therapeutic antibody research, Takeda San Francisco, Inc.
Located in San Francisco as one of the bio-pharma clusters, TSF will be positioned as a center of excellence for Takeda’s therapeutic antibody research.

March 12, 2007 Takeda to Acquire Paradigm Therapeutics
Takeda and Paradigm Therapeutics Limited agreed on March 12, 2007 to the acquisition of Paradigm by Takeda. Paradigm shareholders were advised by Avlar BioVentures Limited. Financial terms were not disclosed.

October 25, 2006  Takeda to Establish New Research Facility in Fujisawa, Japan
Takeda will establish new research facility in Fujisawa city, Kanagawa prefecture, integrating the current research facilities in Osaka city and Tsukuba city, Ibaragi prefecture. The new facility is planned to start the operation in fiscal year of 2010.

March 20, 2008 Announcement on the Restructuring of U.S. Operations
Takeda had reached an agreement with Abbott Laboratories to evenly divide the value of their 50/50 joint venture TAP Pharmaceutical Products Inc. TAP is a joint venture between Takeda America Holdings, Inc. (“TAH”) and Abbott (TAH and Abbott each hold a 50% equity interest in TAP).
Takeda announced that pursuant to the transaction with Abbott, TAP will become a wholly-owned subsidiary of TAH, and will be merged into Takeda Pharmaceuticals North America (“TPNA”). Thereafter, TPNA will transfer the integrated development function of TAP to Takeda Global Research & Development Center Inc.

December 5, 2006  CEO of a New Company for European Operations Appointed
Takeda appointed CEO of the new company for Takeda European Operations, Takeda Pharmaceuticals Europe Limited, which was established as a wholly owned subsidiary in London.

April 13, 2007 TAKEDA to Start the Global Leadership Training Program
Takeda started its group-wide global leadership training program called "Takeda Leadership Institute" ("TLI") with the support of INSEAD, which is one of the world's leading graduate business schools.
